Virginia’s Lieutenant Governor Calls for Extended Review Period for Dominion NextEra Merger

Virginia Lieutenant Governor Ghazala Hashmi is calling on state regulators to extend their review of the proposed merger between Dominion Energy and NextEra Energy, arguing that additional time is needed to fully evaluate one of the largest utility transactions in the nation's history. If approved, the merger would create the largest electric utility company in the United States.

In a letter to the Virginia State Corporation Commission (SCC), Hashmi urged regulators to postpone the formal review process until both companies answer a series of additional questions regarding the proposed acquisition. While the SCC already requires applicants to respond to a standard set of preliminary questions, the Lieutenant Governor submitted an additional list of 64 questions covering topics such as electric rates, corporate governance, reliability, workforce impacts, energy infrastructure, and how the merger would affect Virginia consumers over the long term.

Hashmi argued that the size and complexity of the proposed transaction warrant a more thorough review than the current timeline allows. She stated that Virginians deserve greater transparency before regulators begin the legally prescribed review period and emphasized the importance of understanding the merger's potential effects on customer costs, service reliability, and state oversight of a utility that serves millions of Virginians.

Consumer advocates, environmental organizations, and elected officials, have expressed concerns about the merger's potential impact on electric rates, regulatory oversight, and corporate accountability. Several groups have argued that regulators should have sufficient time to evaluate the proposal before making a decision that could have long-term implications for Virginia's energy system.

The proposed merger remains under review by the State Corporation Commission, which must determine whether the transaction is in the public interest before it can proceed.
